Incentives

SPONSOR: Stella & Dot LLC, 5820 Opus Drive, Groveport, Ohio 43125 (“Stella & Dot”).

ELIGIBILITY:  This Incentive is open to legal residents of the United States and Canada who are at least the age of majority in their jurisdiction of residence as of the beginning of the Incentive Period and who have active Independent Ambassador accounts with Stella & Dot.  This Incentive is subject to all applicable laws. Employees of Stella & Dot and its affiliated companies, subsidiaries and any of their agents, advertising, promotional and other agencies, and the immediate families (parents, siblings, children and spouse) and persons living in the same household of such employees/directors/officers are not eligible to enter the Incentive or win any Glam Getaway rewards (“Reward” or “Rewards”) 

QUALIFICATION AND NOTIFICATION:  Qualifying Reward recipients will be identified on or about April 1, 2022 by Stella & Dot or its designee, whose decisions are final and binding on all matters relating to the Incentive (“Reward Recipients”). Reward Recipients will be notified by email using the email address on file with Stella & Dot, must respond by email within 5 calendar days of the date of the Reward Notification (the “Deadline”), and sign a Declaration or Affidavit of Eligibility and Liability/Publicity Release, if requested (collectively, the “ Incentive Documents”). Each Reward Recipient must sign and return the Incentive Documents within 14 calendar days of the date the Reward Recipient received the Incentive Documents, or his/her Reward will be forfeited.  Return of any Reward Notification or Incentive Documents as undeliverable, the inability of Stella & Dot to contact a Reward Recipient, the failure of a Reward Recipient to contact Stella & Dot in a timely manner, the inability of a Reward Recipient to accept or receive a Reward for any reason, and/or the non-acceptance by a Reward Recipient of any Reward for any reason will result in disqualification of such Reward Recipient.

REWARD CONDITIONS:  Rewards are subject to availability.  Reward Recipients are not entitled to any surplus between the actual retail value of his/her Reward and its stated ARV; and any difference between the stated ARV and actual value of the Reward will not be awarded. No cash redemption, alternative Rewards or Reward substitution allowed, except as determined solely by Stella & Dot, who reserves the right in its sole discretion to substitute cash value or another Reward. Rewards are non-transferable. All Rewards are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose).  Stella & Dot is not responsible for damages whatsoever, including special, indirect, or consequential damages, arising out of or in connection with the use and/or misuse of any of the Reward. Stella & Dot reserves the right to verify eligibility of Reward Recipients. Rewards will be awarded by email, U.S. Mail, Federal Express, UPS and/or other shipping method, in Stella & Dot’s sole discretion, using the information on file with Stella & Dot. If a Reward Recipient is unable to participate in or accept a Reward or any portion of a Reward for any reason, Stella & Dot shall have no further obligation to such Reward Recipient.

TAXES AND COSTS RELATED TO THE REWARD:  ALL APPLICABLE TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY REWARD ARE SOLELY THE RESPONSIBILITY OF THE REWARD RECIPIENT. All expenses and incidentals and other applicable taxes or charges not specifically mentioned herein are not included and are solely the responsibility of the Reward Recipient.  Prior to disbursing funds, Stella & Dot may require Reward Recipient to complete an IRS Form W-9 Request for Taxpayer Identification and Certification.

GENERAL CONDITIONS:  By participating in this Incentive and/or by accepting a Reward, participants agree:  (a) to be bound by these Terms and Conditions, the decisions of Stella & Dot and its designees, and the Privacy Policy of Stella & Dot (http://www.stelladot.com/help/privacy-policy) and (b) to release and hold harmless Stella & Dot, and its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, judging or administration of the Incentive (collectively, the “Released Parties”), from any and all claims, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to their participation in the Incentive and/or their participation in any Reward-related activities (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of any Reward or participation in any Reward-related activities).  By accepting a Reward, Reward Recipient consents to the use of his/her name and/or likeness (voice, biographical information, city and state of residence, statements, photograph, and recordings) for advertising and promotional purposes (including, but not limited to, use on Stella & Dot’s web site without additional compensation, except where prohibited by law). Stella & Dot reserves the right to make changes or additions to these Terms and Conditions and/or extend the dates of this Incentive for any reason at any time. Stella & Dot’s failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.

USE OF PERSONAL INFORMATION:  A participant’s personal information will be collected, processed and used in accordance with Stella & Dot’s privacy policy which can be found at http://www.stelladot.com/help/privacy-policy and participant’s Stella & Dot Family Brands Independent Business Owner Agreement (the “Business Owner Agreement”).

RELEASE:  All decisions of Stella & Dot are final and binding; participants agree to waive any right to claim ambiguity in the Incentive or these Terms and Conditions, except where prohibited by law. By accepting a Reward, Reward Recipient agrees to release the Released Parties from any and all liability, loss or damage arising from or in connection with awarding, receipt and/or use or misuse of Reward or participation in any Reward-related activities. Stella & Dot reserves the right to use the Incentive for publicity purposes in any media, and to use the name, likeness, and hometown name and/or Reward information of participants as part of that publicity, without any compensation or prior review unless prohibited by law. Stella & Dot reserves the right to disqualify any participant it finds to be tampering with the entry process or the operation of the Incentive or violating these Terms and Conditions. INDEPENDENT AMBASSADORS MUST BE AWARE THAT USE OF THE TRAVEL PORTION OF THE REWARD CAN BE HAZARDOUS AND CAN PRESENT UNUSUAL RISKS OF DEATH, SERIOUS ILLNESS AND INJURY, AND PROPERTY DAMAGE. INDEPENDENT AMBASSADORS PARTICIPATE IN USE OF THE REWARD WITH KNOWLEDGE OF THE DANGER INVOLVED AND AGREES TO ACCEPT ANY AND ALL RISKS OF INJURY, ILLNESS, DEATH AND PROPERTY DAMAGE. The Released Parties shall not be liable for: (a) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; ( b) any injuries, losses or damages of any kind caused by the Reward or resulting from acceptance, possession or use of a Reward, or from participation in the Incentive; or (c) any printing, typographical, administrative or technological errors in any materials associated with the Incentive. Stella & Dot disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Incentive, and reserves the right, in its sole discretion, to cancel, modify or suspend the Incentive should a virus, bug, computer problem, unauthorized intervention or other causes beyond Stella & Dot’s control, corrupt the administration, security or proper play of the Incentive. Stella & Dot may prohibit a participant from participating in the Incentive or winning Reward if, in its sole discretion, it determines such participant is attempting to undermine the legitimate operation of the Incentive in any way by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other participants or representatives of Stella & Dot.

GENERAL:  If for any reason the Incentive is not capable of running as planned, including infection due to computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Stella & Dot that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Incentive, Stella & Dot reserves the right to disqualify any individual it believes who tampers with the Incentive process, operation of the Incentive or web site, and to cancel, terminate, modify, or suspend the Incentive without notice. Stella & Dot assumes no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, problems or technical malfunctions of any computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Stella & Dot on account of human error, technical problems or traffic congestion on the Internet or at any Web site, theft or destruction, or unauthorized access to, or tampering with or hacking of website, any combination thereof, or otherwise, including any injury or damage to any participant’s or any other person’s computer related to or resulting from participation in the Incentive.

DISPUTES:  Each participating Independent Ambassador agrees that (a) any and all disputes, claims, and causes of action arising out of or in connection with this Incentive, or any Rewards awarded, shall be resolved individually, in accordance with the terms of the Independent Ambassador’s Business Owner Agreement; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Incentive, but in no event attorneys’ fees and (c) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages (other than for actual out-of-pocket expenses), and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of participant and the Stella & Dot in connection with this Incentive shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than those of the State of California.  In the event of any conflict between these Terms and Conditions and the terms of the Independent Ambassador’s Business Owner Agreement, these Terms and Conditions shall control.
